OFFICIAL SWEEPSTAKES RULES AND REGULATIONS
1. NO PURCHASE OR ACCOUNT NECESSARY. Open only to active Wachovia employees in good standing at time of winner selection, who are legal residents of the 50 United States and the District of Columbia, age 18 or older except Wachovia Senior Leaders. Void wherever prohibited by law. Sweepstakes is governed by U.S. law and subject to all applicable federal, state and local laws and regulations. Entrants agree to accept and be bound by all terms of these Official Rules and Regulations and the decisions of the judges, which are final and binding in all matters.
2. HOW TO ENTER: From now until September 19, 2007 (the “Sweepstakes Period”) Wachovia Card Services, N. A. and Wachovia Bank, N.A. (“Sponsors”) will conduct a Register-to-Win Sweepstakes (“Sweepstakes”) whereby any eligible Wachovia Corporation employee who completes the “Point-n-Win Challenge” segments and enters into the sweepstakes through the designated Wachovia website will be eligible to win. There are two ways to enter: (i) Log onto http://pointandwin.wachovia.net, where employees must enter their Employee Identification Number and complete the “Point-n-Win Challenge” segments and enter into the sweepstakes, or (ii) mail their entry to: Wachovia “Point-n-Win Challenge” Sweepstakes, P.O. Box 771315, St. Louis, MO 63177-2315. To be eligible for the sweepstakes, each mail-in entry must be mailed in a separate postmarked envelope and all mail-in entries must be postmarked no later than September 19, 2007 and received by September 25, 2007. All entries must be in the name of the employee. Only one (1) entry per segment will be accepted for the sweepstakes. Sponsor is not responsible for misdirected, mutilated, unintelligible, incomplete, lost, late or postage-due mail/entries. In the event of sabotage, acts of God, terrorism, or other events or causes beyond the Sponsor’s reasonable control, which corrupt the integrity, administration, security or proper operation of the Sweepstakes, Sponsor reserves the right to cancel, modify, or suspend the Sweepstakes. In the event of cancellation, the prize will be awarded from among all eligible, non-suspect entries received prior to the event requiring such cancellation. False or deceptive entries or acts will render a participant ineligible. All entries become the property of Sponsor and will not be acknowledged or returned. Limit four (4) entries total per employee.

SWEEPSTAKES DRAWING: On or around October 6, 2007, one (1) grand prize winner, three (3) second prize winners and one hundred (100) third prize winners of the “Sweepstakes” will be randomly selected by an independent judging organization from all eligible entries received. Sweepstakes will be administered by SJI, Inc. (“SJI”) and the decisions of SJI in all matters regarding the Sweepstakes are final and binding. Winners must meet all eligibility requirements and must provide complete entry information. Winners will be responsible for proof of eligibility prior to the awarding of the prize. The odds of winning depend on the number of entries received.
4. SWEEPSTAKES PRIZES: GRAND PRIZE - One (1) winner will receive one (1) Panasonic 42” Plasma HDTV. Includes: 16:9 aspect ratio, up to 10,000:1 contrast ratio, two (2) built-in stereo speakers, 160º viewing angles, and 2 HDMI™ connections. Pedestal stand and remote are included. Approx. prize value $1,810.00. 2nd PRIZE – Three (3) winners will receive one of the following as determined by SJI, Inc.: one (1) Apple® 4GB iPod® nano at an approximate prize value of Two Hundred and Thirty Dollars ($230.00), one (1) RCA 5-Disc DVD Home Theater System with digital AM/FM tuner, Dolby® Digital surround, USB input, and component video output at an approximately prize value of One Hundred and Fifty Dollars ($150.00), or one (1) Philips 7” Portable DVD/iPod® Video Player with memory card slot, multiformat CD/DVD player and iPod video connector at an approximate value of One Hundred and Seventy Eight ($178.00). 3rd PRIZE – One Hundred (100) winners will receive 12,000 Wachovia Reward Points. Approx. prize value: $25.00/ea. Approximate Total Prize Value: $4,868.00. No transfer of prize permitted by Winner. No substitution, except as provided for herein. Winner is responsible for the reporting and payment of all applicable federal, state and local taxes on prize.

GENERAL RULES AND REGULATIONS: By accepting prize, winners grant Sweepstakes Entities the right, unless prohibited by law, to use his/her name, voice, image and likeness, without compensation, for the purpose of advertising and publicizing the goods and services of the Sweepstakes Entities and all matters related to the Sweepstakes, in any manner or medium, throughout the world in perpetuity. Grand Prize Winner will be required to sign affidavits of eligibility, tax acknowledgment forms, liability releases and, except where prohibited by law, use of name and likeness releases (“Winner Documents”) and return within five (5) days of issuance. If (i) any prize notification is returned as undeliverable, (ii) Winner declines his or her prize, (iii) Winner fails to provide complete entry information and/or timely reply to and/or return all required Winner Documents within the designated time period, or (iv) Winner fails to comply with any of the Official Rules and Regulations as outlined herein, such Winner will be disqualified and an alternate winner will be selected by random drawing at the Sponsor’s discretion. The Sweepstakes Entities expressly disclaim any responsibility and entrants on behalf of themselves, their executors, assigns and heirs, agree to indemnify and hold harmless the Sweepstakes Entities, and their respective employees, officers, directors, shareholders and agents, from and against any and all claims, actions, demands and/or liability for personal injury, death, property damage or loss to any person or property relating to participation in this Sweepstakes or any travel related thereto (regardless of the cause of such injury or loss), the delivery and/or subsequent use or misuse of any of the prizes awarded, or printing, distribution or production errors.
