TERMS AND CONDITIONS
Wachovia Bank, N.A. and Wachovia Card Services, N.A. (collectively hereinafter referred to as “Wachovia,”
“Issuer,” “we,” and “us”) are official members of Visa U.S.A., Inc. and issuers of the Wachovia Visa Check
Card (or Debit Card) and/or Visa Credit Card as applicable (collectively hereinafter referred to as “Visa
Card,” or “Card”, unless otherwise stated). The words “cardholder”, “you” and “your” mean the individuals
that use the Visa Card(s). Wachovia Possibilities RewardsSM Program (“Program”) is a promotional
incentive program offered by Wachovia to residents of the United States. Under the Program, you earn
points every time you make a qualifying purchase or engage in a qualifying transaction (“Qualifying
Purchase”) with an eligible Visa Card that has been enrolled in the Program. You can use these points
to obtain travel rewards, gift certificates/cards, merchandise, and much more (referred to generally
as “Rewards”).
For Business Credit and Check Cards (or Debit Cards), these terms and conditions apply, as indicated
herein, both to the business (the “Business”) that has contracted with us for the issuance of the Visa
Business Card(s) and the individuals that use the card(s) (“you” or “cardholder”).
By participating in the Program, you and the Business, as applicable, are agreeing to be bound by
the following terms and conditions contained herein. In addition to these terms and conditions, your
Wachovia Cardmember Agreement and Disclosure Statement (the “Cardmember Agreement”) with us
relating to your use of your Wachovia Visa Credit Card and/or your Deposit Agreement and Disclosures
for Personal Accounts and/or Commercial Accounts (the “Deposit Agreement”) with us relating to your
use of your Wachovia Visa Check Card also shall continue to govern your Visa Card. In the event of a
conflict between the Cardmember Agreement, Deposit Agreement, and these terms and conditions,
these terms and conditions shall govern in any matter relating to the Program.
Changes to the Program
We may modify, restrict or change the Program at any time, which changes may include, but are not
limited to, changing the number of points you earn for a particular type of transaction, activity or the
number of points you need to reach a particular Reward tier or to redeem a particular Reward, or omitting
or adding reward levels or categories, or changing the selection of Rewards, or imposing, increasing or
eliminating points caps or Program fees, or changing the conditions under which points expire or are
forfeited. We will notify you, and through notification to you, notify the Business, as applicable, of material
changes to the Program terms and conditions and, unless you or the Business, as applicable, decide to
terminate your Program participation, you will be bound by the revised terms and conditions. We also
reserve the right to suspend or terminate the Program, or the Business’s or your participation in the
Program, at any time without compensation to the Business or you.
Eligibility
Visa Cards issued in the United States and in good standing may be eligible to participate in the
Program. An account is no longer in good standing if it is 60 days or more delinquent, subject to
bankruptcy, involved in fraud, charged-off, or otherwise in default under the terms and conditions of
the Cardmember Agreement, closed by us, or not otherwise in good standing. We reserve the right to
determine in our sole discretion whether a particular Visa Card or cardholder is eligible to participate
in the Program.
Enrollment
Eligible Visa Credit Cards are automatically enrolled in the Program with the establishment of a
Wachovia Possibilities Rewards Account. Eligible Visa Check Card cardholders may enroll in the
program at any time. There is no cost to the Business, as applicable, or you to enroll or
participate in the Program.
We will set up a Wachovia Possibilities Rewards Account under the name of the primary account holder,
and purchases made with Visa Cards issued under the same Visa Card account will earn points in such
Wachovia Possibilities Rewards Account. Only the primary account holder can access the Program website
and redeem points.
Qualifying Purchases
Only Qualifying Purchases with your enrolled Visa Card can earn points. A “Qualifying Purchase” is any
signature-based purchase, Internet purchase, phone or mail order purchase, bill payment, contactless
purchase (purchase made by holding your Visa card or other device up to a secure reader instead
of swiping your card), or small dollar purchase for which you are not required to sign made with an
enrolled Visa Card, which is processed or submitted through the Visa U.S.A. Inc. transaction processing
system. You must sign for all in-store purchases you make with an enrolled Visa Card in order for such
purchases to be deemed Qualifying Purchases; do not use a Personal Identification Number (PIN) when
paying for your purchases with your enrolled Visa Card if you want to earn points for such purchases.
PIN-based purchases, payments of existing card balances, balance transfers, cash advances, ATM
transactions, convenience checks, Interlink-processed transactions, fees charged by us (for example,
annual fees, finance charges, and related service charges, if any apply), payments made for pre-paid and
re-loadable cards such as certain gift cards, Visa Buxx, and similar cards, or payments made for payment
instruments that can readily be converted to cash (for example, travelers cheques, money orders, wire
transfers, and similar products or services), or transactions that are not processed or submitted through
the Visa U.S.A. payment system are not Qualifying Purchases. We reserve the right to determine in our
sole discretion whether a particular Visa Card transaction is a Qualifying Purchase.
Earning Points/Maximum Points/Transfers
You will earn: a) one (1) reward point for each $1.00 of a Qualifying Purchase made with your enrolled
consumer Visa Check Card; b) two (2) reward points for each $1.00 of a Qualifying Purchase made with
your enrolled Visa Classic Card or enrolled Visa Business Check Card; c) four (4) reward points for each
$1.00 of Qualifying Purchase made with your enrolled Visa Platinum Card; and, d) six (6) reward points
for each $1.00 of Qualifying Purchase made with your enrolled Visa Signature Card. Purchase amounts,
including tax, will be rounded to the nearest whole dollar amount to determine the number of points to be
posted to your Wachovia Possibilities Rewards Account. For consumer credit cards, the maximum annual
number of rewards points you can earn is 1 million based on account annual anniversary date. For small
business credit and all check cards, there is no cap to the number of rewards points you can earn.
When making an in-store purchase (at a store, restaurant, or other merchant location) with your enrolled
Visa Card and you are presented with a choice of “credit” or “debit/ATM,” choose “credit” to ensure you
will be asked to sign for your purchase and earn reward points for Qualifying Purchases. When making a
purchase online with your enrolled Visa Card, make sure you always select “Visa” if you have that choice
to ensure you will earn reward points for Qualifying Purchases.
You may receive reward bonus points for certain Qualifying Purchases at participating merchants or in
connection with other specified promotions. The rules for each bonus offer can vary, including how the
bonus is earned, how the purchase amount eligible for bonus points is determined, and when the offer
expires. Other important terms and conditions may apply. Details can be found on the Program website
or by speaking with customer service. It will generally take 6 to 8 weeks for bonus points to post to your
Wachovia Possibilities Rewards Account, but in some cases it may take up to 90 days. Once posted to
your Wachovia Possibilities Rewards Account, these bonus points are available to you should you choose
to redeem them. All reward bonus points are subject to the same point redemption and expiration rules
as the points you otherwise earn for your Qualifying Purchases.
Any returns, credits, or chargebacks earn “negative” points and such “negative” points will reduce the
total points posted to the Wachovia Possibilities Rewards Account. If at any time an enrolled Visa Card
account is not in good standing, Qualifying Purchases you make while the card is not in good standing
may not accrue any points, which we will determine in our sole discretion.
Occasionally, we may authorize an adjustment to your rewards point balance. Details on adjustments can
be found on the Program website or by speaking with customer service.
Points have no cash or other value, except to obtain Rewards as set forth below.
You may not purchase points or sell your Wachovia Possibilities Rewards Account. You may only transfer
points to, from, and between your Wachovia Possibilities Rewards Account(s). All accounts must be owned
by you.
Point Activity/Redemption/Expiration/Forfeiture
You can view your Wachovia Possibilities Rewards Account point balance and points earning and
redemption activity at any time online at wachoviapossibilities.com. You can also call 1-888-440-7000
for such information. It may take 1-2 weeks for some of your Qualifying Purchases to post to your
Wachovia Possibilities Rewards Account. Some Qualifying Purchases, for example online purchases,
foreign transactions and bonus points, may take longer to be posted.
Points are redeemed on a “first-in, first-out” basis, such that the first points earned will be the first
points redeemed over the life of your Wachovia Possibilities Rewards Account. Once a redemption order
is placed, your Wachovia Possibilities Rewards Account will be reduced by the number of points used to
acquire the Reward. If your Reward order is cancelled or the Reward item becomes unavailable, your
points will be reinstated and you will be notified of the cancelled order.
If your Visa Card account is not in good standing, we reserve the right to limit, restrict or block your
ability to redeem points, at our sole discretion.
All unredeemed points will expire at the end of the 60th month from the month in which they were posted
to your Wachovia Possibilities Rewards Account.
Your positive point balance will be forfeited if your registered Visa Card account is closed by you, the
Business (if applicable) or by us, or if your Wachovia Possibilities Rewards Account is terminated by you,
the Business (if applicable) or by us (we will determine in our sole discretion what is a closed account or
a terminated Wachovia Possibilities Rewards Account for this purpose). You may not be provided with
notice of expiration or forfeiture of points.
You, or the Business, as applicable, are not entitled to compensation from us or Visa U.S.A. Inc., or from
any other entity, when your points expire or if they are forfeited for any reason.
Rewards/Shipping
To redeem points in your Wachovia Possibilities Rewards Account to obtain Rewards, go to the Program
website at wachoviapossibilities.com or call 1-888-440-7000. You can only acquire Rewards to the extent
that you have the required number of points in your Wachovia Possibilities Rewards Account. All Rewards
are subject to availability and have no cash value.
Each Reward will be subject to terms and conditions specific to the Reward that will be provided to you
in conjunction with the Reward. These terms and conditions may address such matters as the expiration
date of the Reward, the purchase or other requirements to use the Reward, any warranties for the
Reward, or any other limitations or restrictions on obtaining, retaining or using the Reward. Neither we
nor Visa U.S.A. Inc. is liable to you or the Business, as applicable, if a Reward expires prior to your use
of the Reward. An expired Reward will no longer be available for use or redemption.
Many of the Rewards are certificates that are redeemed at a participating merchant location. You,
the Business and the merchant are responsible for compliance with all laws related to the Reward,
including the payment and collection of any federal, state, or local taxes. Refer to the Reward
certificate for details.
There is no shipping or handling fee for standard delivery of the Rewards. Rewards generally will be sent
to you within 4 weeks of placing your Rewards order. Rewards will not be shipped to any address outside
of the United States.
Any merchandise Reward, if it has been damaged in transit, can be returned to the Program administrator
in its original packaging within ten (10) days of your receipt, in which event you will receive a full
reinstatement of the points you redeemed to acquire the Reward. Contact 1-888-440-7000 for return
instructions. All non-merchandise Rewards (for example, gift cards/certificates) cannot be returned.
Except as otherwise provided above in connection with merchandise damaged in transit, redeemed
Rewards are not refundable, exchangeable, replaceable, redeemable, or transferable for cash, credit,
other Rewards or points under any circumstances; we, Visa U.S.A. Inc., and participating merchants are
not responsible for replacing lost, stolen, or mutilated Rewards, including retail or travel certificates, gift
certificates, gift cards, or merchandise.

Travel Rewards
We describe all Travel Rewards both in terms of the number of points required and a corresponding
maximum ticket value (“MTV”). If the dollar cost of an Airline Reward exceeds the MTV, you must pay
the difference between the cost and the MTV in order to obtain the Reward.
Airline Rewards: the number of points and corresponding MTV required for coach class Airline Rewards
are: within the 48 continental states of the U.S. the points required are 100,000 (MTV $500) and from
the 48 continental states to select international cities, to Central or South America the points required
are 260,000 (MTV $1300), to Europe the points required are 250,000 (MTV $1100), to the Caribbean
the points required are 175,000 (MTV $650), to Mexico the points required are 160,000 (MTV $650),
to Canada the points required are 100,000 (MTV $380), to Asia the points required are 350,000 (MTV
$1300), to the Middle East the points required are 400,000 (MTV $1500), and to Australia/New Zealand
the points required are 675,000 (MTV $2500). References to the 48 states include travel to and from
the District of Columbia. MTV includes all taxes and destination fees, including the September 11th
Security Fee, as of 1/1/07 and excludes any airline-imposed surcharges, including, but not limited to,
fuel related surcharges and/or additional security fees deemed necessary by the individual carrier. There
will be a $25 airline ticket redemption fee that must be paid by the cardholder at the time the airline
reward is redeemed. Round-trip ticketing must be made through the Wachovia Possibilities Rewards
program on the same U.S. carrier, approved by the Airline Reporting Corporation. Unless redeeming
points for first- or business-class travel, the ticket will be coach class and the lowest fare available
through the travel provider at the time of booking.
Reservations and ticketing require at least 21 days’ advance notice and must include a Saturday night
stay. Most international travel requires stays of at least 7 but no more than 30 days. Check requirements
when booking. Stopovers of more than 4 hours are not permitted and there is no limit on connections.
Actual travel dates/times are subject to availability of coach-, business- or first-class airfare, as
applicable. Final approval of travel plans is subject to our selection. Airline Rewards are not refundable.
Miscellaneous costs, including, but not limited to, excess baggage, gratuities, insurance, and airline
amenities, are the cardholder’s responsibility.
Special Travel Rewards: From time-to-time, cardholders may receive opportunities to use their points
for select travel rewards; these rewards may include, but are not limited to, cruise and vacation
package arrangements. These offers shall be subject to special terms and conditions, which will be
disclosed when the rewards are advertised. Special terms may include the cruise line and/or vacation
supplier’s cancellation and refund policies. Complete terms and conditions are available at

Communications with Program Participants
We may communicate with you regarding any matter related to the Program by mail, by telephone or
by electronic communications. If you use the Program website, we may make electronic communications
to you, including electronic mail and/or postings to the Program website in the Message Center.
All electronic communications from us to you shall be deemed to be communications “in writing”
and deemed delivered to you no later than the earlier of the date actually received or 5 days from
the date of posting or dissemination. You may update your contact information by visiting
wachoviapossibilities.com and updating your Wachovia Possibilities Rewards Account profile or by calling
1-888-440-7000.
To access information electronically, you need an IBM or MAC compatible computer, Internet access,
an Internet Browser [Netscape Navigator version 5.0 or Internet Explorer version 5.0 (or later versions)
for IBM compatible computers, or Netscape Navigator 5.0 or Internet Explorer 5.0 (or later versions)
for MAC compatible computers] and an email account. To retain copies of electronic communications,
you will need a printer attached to your computer or sufficient storage space in your disk drive to save
an electronic copy. Additionally, you must have your password to access your information electronically
or to conduct any activity online regarding your Wachovia Possibilities Rewards Account on the
Program website.

1-888-440-7000, or by U.S. mail at Visa, P.O. Box 1759, Minneapolis, MN 55440-1759, if you would like
to request a paper copy of these terms and conditions, or to withdraw your consent to receive electronic
communications. However, if you use the Program website, we are not obligated to provide any additional
communications to you, other than these terms and conditions, in a paper writing. We also reserve the
right at our option to terminate your participation in the Program if you withdraw your consent to receive
electronic communications regarding the Program.
At your option, you may choose to receive information of a promotional nature about the Program. If you
would like to change your consent to receive these promotions, please visit wachoviapossibilites.com or
call 1-888-440-7000 to update your Wachovia Possibilities Rewards Account profile.
Canceling Program Participation
You may cancel your participation in the Program at any time by visiting the Program website at
wachoviapossibilities.com or calling 1-888-440-7000. For small Business Credit and Check Cards,
the Business also may cancel your participation in the Program at any time. Your positive point balance
in your Wachovia Possibilities Rewards Account will be forfeited. Any negative point balance in your
Wachovia Possibilities Rewards Account will carry over to any other Wachovia Possibilities Rewards
Account set up later with the same Visa Card.
Lost, Stolen or Damaged Visa Cards
You will not lose the points in your Wachovia Possibilities Rewards Account if your enrolled Visa Card
is lost, stolen or damaged and we provide a replacement card, even if such replacement card has a
different card number. If your Visa Card is lost or stolen, first call us at the telephone number provided
in the Cardmember Agreement or 1-800-VISA-911 if you do not have your Cardmember Agreement to
report the loss or theft, and then call the Program Administrator at 1-888-440-7000 regarding the points
in your Wachovia Possibilities Rewards Account.
Customer Service
If you have a problem or question regarding whether you earned points from a particular purchase
or transaction, whether a Reward was properly redeemed or the status of your redemption order,
or any other question regarding the Program, you can reach the Program Administrator at
wachoviapossibilities.com, by e-mail at customerservice@wachoviapossibilities.com, by telephone
at 1-888-440-7000, or by U.S. mail at Visa, P.O. Box 1759, Minneapolis, MN 55440-1759. If you
choose to contact the Program Administrator by email, send your full name and address and the
name of your Visa Card Issuer. Do not send your Visa Card number or other personal financial
information by email because email communications may not be secure.
If you contact us regarding an error or mistake with respect to your Wachovia Possibilities Rewards
Account, we will use reasonable efforts to investigate and correct the error or mistake, subject to the
limitations set forth in these terms and conditions. In any event, you must notify us within 60 days of
the posting date or the date of the alleged error or mistake in order for us to undertake an investigation
of the matter. We may require you to provide written confirmation of the alleged error or mistake. If we
do not receive the requested written confirmation at the address and within the time frame requested by
us, we may in our sole discretion determine not to correct the alleged error or mistake. If we complete
our investigation of the alleged error or mistake and notify you of our determination, we have no further
responsibilities should you later reassert the same alleged error or mistake. All questions or disputes
regarding the Program, including eligibility, earning points, or redemption of points for Rewards, will be
resolved by us in our sole discretion.
Disclaimers and Limitations
Neither we nor Visa U.S.A. Inc. are responsible for any disputes between or involving joint or linked
cardholders or authorized users relating to points, redemption for Rewards, or use of Rewards.
Rewards are provided by a variety of merchants. We and our service providers, including Visa U.S.A. Inc.,
are not responsible to the Business or you for the quality or performance of the Rewards or the products
or merchandise purchased or obtained with the Rewards. You or the Business may be subject to additional
terms and conditions, warranties or other requirements of the merchant, manufacturer or other
Rewards provider. Neither we nor Visa U.S.A. Inc. makes any guarantee, warranty or representation of
any kind, express or implied, with respect to the Rewards, including but not limited to warranties of
merchantability or fitness for a particular purpose. We and Visa U.S.A. Inc. are not liable for any injury,
damage or loss to person or property or any expense, accident or inconvenience that may arise from
the use of the points, or the use of the Rewards or products or merchandise purchased or obtained with
the Rewards, or otherwise in connection with the Program. Further, we and Visa U.S.A. Inc. are not
responsible for merchants, manufacturers or other Reward providers that discontinue or cancel a Reward
due to bankruptcy or for any other reason. Neither we nor Visa U.S.A. Inc. makes any representation or
endorsement of any Reward, merchant or other provider of a Reward in connection with the Program.
The Business and you hereby release and hold us, Visa U.S.A. Inc. and all parties associated with the
Program harmless from any claim, liability or damage relating to the Program or your use of the Rewards.
Any Reward offered under this Program is void where prohibited by law. Notwithstanding anything in these
terms and conditions to the contrary, we, Visa U.S.A. Inc. and any of their service providers shall have no
liability to the Business or you in connection with the Program.
Any required arbitration or other dispute resolution process provided for in your Cardmember Agreement
shall apply to your participation in the Program.
Privacy
You understand and agree that Wachovia will share information as to the Visa Card use and Qualifying
Purchases, and certain other information, with Visa as necessary or helpful in administering the Program.
All information collected in connection with the Program is subject to our privacy policy, a copy of which
